OpenAI announced that its Board of Directors is evaluating a shift in its corporate structure to better support its mission of ensuring artificial general intelligence (AGI) benefits all of humanity.
The AI firm states that this shows a commitment to sustainability, innovation, and the need for resources to continue advancing AGI responsibly.
AGI refers to a form of AI capable of matching or exceeding human cognitive abilities across a broad spectrum of tasks.
From Non-Profit to Pioneering For-Profit
Since its inception in 2015 as a non-profit research lab, OpenAI has grown into a multifaceted organization. Initially funded by $137 million in donations—including $50 million each from Azure and Google Cloud—OpenAI’s early work focused on AI experiments and foundational research.
However, the growing demand for computational resources required to develop advanced AI systems highlighted the need for significant capital beyond donations.
By 2019, OpenAI transitioned to a hybrid structure, creating a for-profit entity controlled by the non-profit.
This model allowed the organization to raise over $1 billion from investors, including Microsoft, while maintaining its mission focus.
In the years that followed, products like ChatGPT, which now boasts over 300 million weekly users, demonstrated OpenAI’s ability to generate revenue and deliver societal benefits.
A New Era of Responsibility and Growth
Looking ahead to 2025, OpenAI plans to transform its for-profit arm into a Delaware Public Benefit Corporation (PBC).
The firm noted that this structure would align shareholder interests with broader societal goals, enabling OpenAI to raise the substantial capital needed for its mission under more conventional investment terms.
“Our mission is too important to be constrained by outdated structures,” said an OpenAI in its official blog. “Becoming a PBC ensures we can meet the demands of advancing AGI while staying true to our core purpose: to ensure its benefits reach everyone.”
The proposed changes also aim to bolster the non-profit, equipping it with shares in the PBC valued by independent advisors.
This approach promises to make OpenAI’s non-profit one of the best-resourced in history, supporting initiatives in healthcare, education, and science.
Building the AGI Economy
The evolution reflects OpenAI’s acknowledgment that its mission extends beyond developing AGI.
The organization seeks to contribute to the creation of a broader AGI-driven economy, encompassing infrastructure like datacenters, chips, and AI systems.
By refining its structure, OpenAI states it aims to inspire similar efforts across the industry and foster innovation while promoting safety and ethical standards.
